| EMMANUEL EPISCOPAL CHURCH APPROVED VESTRY MINUTES CAMP MIKELL JANUARY 12, 2003 VESTRY PRESENT: Father Peter Courtney, Laura Cofer, Lee Gaby, Debra Harden, David Kidd, Duncan Krause, Cindy McAlister, Larry McLeod, Joe Napoli, Jay Shinn, Terri Tillman, Carol Winthrop, Peg Wood ELECTIONS Junior Warden: Cindy McAlister nominated Lee Gaby for the office of Junior Warden. The nomination was seconded by Duncan Krause and was carried unanimously. Treasurer: Cindy McAlister nominated Johnny Terrell for the office of Treasurer. The nomination was seconded by Duncan Krause and was carried unanimously. Clerk: Cindy McAlister nominated Dee Forester for the office of Clerk. The nomination was seconded by Duncan Krause and was carried unanimously. Peg Wood recommended that the results of the election be sent to Karen Holland so that she will have authorization for expenditures. Carol Winthrop wished to officially express the Vestry’s appreciation to Johnny and Dee for their continued excellent service in their offices. There was some discussion of a need to amend the co-sign policy for certain expenditures. The Finance Committee will evaluate the policy and recommend alterations. Williams-Rhodes Committee appointments: Duncan Krause was appointed Chair of the Committee and Gillian Ball was appointed to represent the parish. The appointments were carried unanimously, with Duncan abstaining. Endowment Fund Trustees appointments: Bobby Gibson and Amrey Harden were appointed to serve. The appointments were unanimously carried, with Peg Wood and Debra Harden abstaining. Peg Wood observed that the Endowment Fund is in excellent condition, despite the current state of the economy, due to prudent and conservative management by the Trustees. Larry McLeod informed the Vestry that he has been asked to serve on a committee to rewrite the State of Georgia trust laws. The resulting changes may affect Emmanuel’s endowments and the way that trust accounting is done. Larry will keep us updated. Joe Napoli commented that we need to consider age and gender in future appointments to the Endowment Fund Trustees. VESTRY LEADERSHIP ROLES Cindy McAlister discussed the Vestry Handbook and gave the links where it may be found online. An organization chart (attached) was presented detailing the various ministries and commissions in the parish and the Vestry members involved in each. Father Courtney presented the new Executive Committee: Peter Courtney (rector), Cindy McAlister (senior warden), Lee Gaby (junior warden) and Laura Cofer (member at large). David Kidd and Peg Wood agreed to serve on the Finance Committee. PREPARATION FOR FEBRUARY MEETING Architecture, Gifts and Memorials Committee motion to amend the Operating Procedures. The proposed changes are in the section concerning membership on the committee. After considerable discussion, the changes were agreed upon in the following form (proposed changes are in italics): The Committee shall consist of no less than seven persons, at least three of who are or have been members of the Vestry. 1. A member appointed annually by the Rector and approved by the Vestry (Chair). 2. A member of the current Vestry, annually elected by the Vestry. 3. Five or more members of the parish elected by the Vestry to serve staggered terms. These terms are to be fixed by the Vestry 4. Committee members may serve a second term if nominated and elected by the Vestry. 5. Ex officio members shall include the Senior Warden and the chair of the Vestry Resources Commission. 6. There is no term limit. 7. Appointments are effective upon approval. 8. Term begins in February after the January Vestry meeting. Larry McLeod moved that the motion be passed subject to amendment if necessary. The motion passed unanimously. Vestry members serving on the AGM Committee are Peg Wood, Chair, and Larry McLeod, representing the Vestry. COMMITTEE REPORTS Stewardship Report: Duncan Krause presented a summary of the stewardship campaign and noted that it was very successful. The target was $534,000; the estimated pledge amount is $525,000. Finance Committee Report: As the new head of the Finance Committee, Duncan also presented the Finance Report to close out 2002. He drew our attention to the new format, and noted that we finished the year with a surplus of over $25,000. Duncan mentioned that he still has a lot to learn about the workings of the Finance Committee, and will consult with Bob Wood in the transition. The “Emmanuel Finances 101” seminar for new Vestry members is tentatively scheduled for February 26 at 6:30 p.m. Bob Wood will present this seminar, which has been very beneficial to incoming Vestry in the past. ANNOUNCEMENTS Terri Tillman received the message during the meeting that her uncle was seriously ill, and requested that the Vestry remember him in their prayers. FUTURE DEVOTIONS Peg Wood volunteered to present the devotion for the February meeting. Carol Winthrop volunteered to present the devotion for the March meeting.
